These Terms of Service (“Terms”) govern your access to and use of the website icecold.nz and all services provided by TBCS Group Ltd, trading as Icecold Internet (“Icecold Internet”, “we”, “us”, or “our”).
By accessing or using our website or services (“Service”), you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
These Terms apply to all visitors, users, customers, and others who access or use the Service.
1.1 If you purchase any product or service through the Service (“Purchase”), you may be required to provide information including (without limitation) credit card details, billing address, and contact information.
1.2 You represent and warrant that:
– (a) You are legally authorised to use any payment method provided; and
– (b) All information supplied is true, correct, and complete.
1.3 By submitting payment information, you authorise us to provide that information to third parties for the purpose of processing payments.
2.4 We reserve the right to refuse or cancel any order for reasons including (but not limited to):
– Service availability
– Pricing errors
– Description errors
– Suspected fraud or unauthorised transactions
2.1 When creating an account, you must provide accurate, complete, and current information.
2.2 You are responsible for safeguarding your password and for all activity under your account.
2.3 You must notify us immediately of any unauthorised use or security breach.
We reserve the right to suspend or terminate accounts that breach these Terms.
3.1 All services are billed in advance unless otherwise agreed in writing.
3.2 We accept payment via:
– Visa
– MasterCard
– Direct Credit
– Automatic Payment
3.3 Late Payments
Failure to pay by the due date may incur:
– 10% late penalty
– A minimum $8 administration fee
3.4 Non-Payment
If payment remains outstanding for more than two (2) months, we may:
– Suspend services
– Refer the debt to a collection agency. You will be liable for all recovery costs incurred.
3.5 GST
– Business Services: Prices are exclusive of GST unless stated otherwise.
– Residential Services: Prices are inclusive of GST unless stated otherwise.
4.1 Any phone number allocated to you remains our property (or our supplier’s property) and does not transfer ownership to you.
4.2 If your account is inactive for more than three (3) months, or disconnected without porting the number, we may reallocate the number at our discretion.
4.3 Porting
By requesting number porting, you confirm you are authorised to port the number.
5.1 This clause applies where Icecold Internet provides broadband services.
5.2 Installation & Chorus Charges
Additional charges may apply for work carried out by Chorus Limited or its contractors.
5.3 Cancellation of Installation
If you cancel after accepting installation (for non-standard installations), cancellation fees may apply unless due to our fault or unless you decline additional quoted work.
5.4 Moving Address
If equivalent or better service is available at your new address, no move fee applies. Installation charges may apply where no service exists.
5.5 Static IP Address
A static IP address may be provided. We reserve the right to change IP addresses due to network upgrades. Where practical, advance notice will be provided.
5.6 Previous Provider Fees
We are not liable for early termination fees charged by your previous provider.
5.7 Acceptable Use
You must not knowingly transmit malicious software (including viruses, trojans, worms, or bots), or use our services in a way that compromises network security.
6.1 We require thirty (30) days written notice to terminate any Service unless otherwise agreed in writing.
6.2 We may suspend or terminate services immediately for:
– Non-payment
– Illegal use
– Breach of these Terms
To the maximum extent permitted by New Zealand law, TBCS Group Ltd (trading as Icecold Internet), including its directors, employees, agents, contractors and affiliates, shall not be liable for:
– Indirect or consequential loss
– Loss of profits
– Loss of data
– Loss of goodwill
– Business interruption
Whether arising in contract, tort (including negligence), or otherwise.
Where liability cannot be excluded under law, our total liability is limited to the amount paid by you for the affected service during the preceding three (3) months.
8.1 The Service is provided “as is” and “as available”.
8.2 We do not guarantee that:
– The Service will be uninterrupted or error-free
– Defects will be corrected
– The Service is free of harmful components
– The Service will meet your specific requirements
9.1 These Terms are governed by the laws of New Zealand.
9.2 If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.
9.3 These Terms constitute the entire agreement between you and TBCS Group Ltd in relation to the Service.
10.1 Under the Unsolicited Electronic Messages Act 2007 (NZ), we reserve the right to remove content classified as spam.
10.2 Sending unsolicited commercial email is strictly prohibited.
10.3 Accounts involved in spam activity may be terminated without notice.
11.1 Our Service may contain links to third-party websites not controlled by us.
11.2 We are not responsible for the content, policies, or practices of third-party websites.
11.3 You should review the terms and privacy policies of any third-party websites you visit.
12.1 We may modify these Terms at any time.
12.2 Where changes are material, we will endeavour to provide at least 30 days’ notice.
12.3 Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
